Contract lifecycle management (CLM)

Managing contracts from request and drafting through negotiation, signature, performance and renewal or termination.

In short

  • It keeps every contract, its terms and its key dates in one place.
  • Missed renewal dates are one of the most common and avoidable costs.
  • It connects contract terms to what is actually paid. Overbilling can be caught.

Contract lifecycle management, or CLM, covers everything that happens to a contract. It begins when someone needs an agreement and continues until the contract ends or is renewed. CLM software stores contracts centrally and tracks their obligations and dates.

The stages

  1. Request: a business need is identified, with the basic commercial terms.
  2. Drafting: the contract is written, often from an approved template.
  3. Negotiation: the parties exchange redlines until terms are agreed.
  4. Approval and signature: internal approvals, then signature, often electronic.
  5. Performance: obligations, service levels and pricing are tracked during the term.
  6. Renewal or termination: the contract is renegotiated, renewed, or ended with the notice required.

Why it matters for finance

Contracts that live in email inboxes and shared drives cause predictable problems. Auto-renewals slip through because nobody noticed the 60-day notice window. Suppliers bill prices higher than the contract allows and nobody checks. Volume discounts and service credits go unclaimed. Connecting contracts to invoices and payments lets finance confirm that what is paid matches what was agreed.

For software and subscriptions in particular, a list of contracts with owners and renewal dates is often the fastest way to find savings.

Worked example

An auto-renewal caught in time

A company's CLM system flags a $48,000-a-year analytics contract 90 days before it auto-renews, with a 60-day cancellation notice. The owner reviews usage, finds only 12 of 40 seats in use, and renegotiates to 15 seats for $19,000. Without the reminder, the contract would have renewed at the full price for another year.
